1. Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User”, “you”, or “your”) and JUSTPLOG-IT (“Company”, “we”, “us”, or “our”), governing your access to and use of the Ad-OS multi-platform advertising operating system, website, tools, and associated APIs.

By registering an account, connecting advertising accounts, or utilizing any portion of Ad-OS, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company, agency, or other legal entity, you represent that you have the legal authority to bind such entity.

2. Description of Services

Ad-OS is an advertising orchestration platform that enables businesses and marketing professionals to:

• Connect authorized external advertising accounts (including Meta Ads, Google Ads, and TikTok Ads) via official OAuth APIs.
• Plan, create, configure, and allocate advertising campaign budgets across multiple platforms from a single unified interface.
• Synchronize actual platform-reported daily advertising spend and monitor blended efficiency metrics (ROAS, CPA, CPC, CTR).
• Access AI-assisted campaign targeting suggestions and natural language performance analysis powered by Google Gemini.
• Configure custom automation rules, anomaly detection thresholds, and budget runaway circuit breakers.

3. Connected Advertising Accounts & User Authority

When you connect a third-party advertising account (such as a Meta Ad Account or Business Manager):

• Ownership & Authority: You represent and warrant that you are the verified owner or authorized agency administrator of each connected ad account with full rights to manage campaigns and incur ad spend.
• Token Storage & Security: You authorize Ad-OS to securely store encrypted OAuth access tokens and refresh tokens strictly for executing your requested campaign actions and spend synchronizations.
• Platform Terms Compliance: You agree to abide by all relevant terms of the third-party platforms, including the Meta Platform Terms, Meta Commercial Terms, Google Ads Terms, and TikTok Advertising Terms.
• Revocation: You may disconnect any connected ad account at any time via your Ad-OS Settings or directly through your Facebook/Meta Apps and Websites settings.

5. Acceptable Use & Content Standards

You agree not to use Ad-OS to create, publish, or promote any campaign that:

• Violates Meta’s Advertising Standards, Google Ads Policies, or TikTok Community Guidelines.
• Promotes illegal goods, counterfeit items, deceptive financial schemes, or fraudulent activities.
• Distributes malware, spyware, phishing links, or unauthorized tracking mechanisms.
• Contains discriminatory, defamatory, violent, sexually explicit, or infringing intellectual property.
• Attempts to bypass, circumvent, or exploit platform rate limits or security mechanisms.

JUSTPLOG-IT reserves the right to immediately suspend or terminate access for any user found violating these standards.

6. AI Advisory Features (Google Gemini)

Ad-OS integrates Google Gemini to provide campaign performance summaries, RAG-based marketing insights, and social-post-driven targeting recommendations.

7. Account Termination & Data Deletion

You may stop using Ad-OS and delete your account at any time. To purge your account, revoke all platform tokens, and delete historical campaign telemetry, follow our step-by-step procedures outlined on our Data Deletion Instructions Page.

JUSTPLOG-IT may terminate or suspend your account upon written notice if you materially breach these Terms or fail to cure an outstanding platform fee obligation.

8. Intellectual Property Rights

All proprietary rights, title, source code, user interfaces, branding, and algorithms comprising Ad-OS remain the exclusive intellectual property of JUSTPLOG-IT.

You retain full ownership and intellectual property rights to all ad creatives, graphic assets, videos, trademarks, and marketing copy you upload or configure through Ad-OS.

9. Disclaimer of Warranties & Limitation of Liability

Ad-OS IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE BY APPLICABLE LAW, JUSTPLOG-IT DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

IN NO EVENT SHALL JUSTPLOG-IT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF ADVERTISING BUDGET, REVENUE, DATA, OR REPUTATION, ARISING FROM OR RELATED TO YOUR USE OF THE PLATFORM OR ACTIONS TAKEN BY THIRD-PARTY ADVERTISING NETWORKS (INCLUDING AD REJECTIONS OR ACCOUNT SUSPENSIONS BY META, GOOGLE, OR TIKTOK).

10. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction of incorporation of JUSTPLOG-IT, without regard to its conflict of law principles. Any dispute arising under these Terms shall be resolved exclusively in the competent courts of said jurisdiction.
